Terms of Service

The deal, in plain language.

These terms are a binding contract between you and VectraSEO LLC, a Pennsylvania limited liability company (“VectraSEO”, “Tovin.io”, “we”), and govern your use of tovin.io and app.tovin.io. By creating an account you agree to them. They are deliberately short — the product is a read-only cost monitor, and the terms should be no scarier than that.

Who you’re contracting with

The service is provided by VectraSEO LLC, a Pennsylvania limited liability company (a postal address for legal notices is available on request at hello@tovin.io). Payments are processed by Stripe on our behalf; charges appear on your statement under our Tovin.io billing descriptor.

The service

Tovin.io ingests billing data from cloud accounts you connect with read-only credentials and presents it as project-level ledgers, budgets, forecasts, alerts, and insights. You are responsible for scoping the credentials you connect (our docs show the minimum-permission policies) and for the accuracy of the access you grant. We never modify resources in your cloud accounts.

Your account

Sign-in is by single-use email link. You are responsible for the security of the email inbox you register. Organization owners control membership and can remove members or delete the organization at any time.

Plans, billing, automatic renewal, and cancellation

  • The Free plan is permanent, not a trial, within its published limits.
  • Paid plans are billed by Stripe, monthly or annually, at the prices published on the pricing page.
  • Automatic renewal: paid plans renew automatically at the end of each billing period (monthly or annually) at the then-current price, and your payment method is charged for the next period, until you cancel. You authorize these recurring charges when you subscribe.
  • Annual-plan reminders: for annual subscriptions we email you a renewal reminder before each renewal stating the amount, the renewal date, and a one-click link to cancel.
  • Cancel anytime: you can cancel from the billing page in one click (no phone call, no email required); cancellation stops all future renewals and paid features remain active until the end of the current paid period.
  • Tracked-spend limits are plan guidelines, not metered billing — exceeding a limit prompts an upgrade conversation, never a surprise overage invoice.
  • We may change prices with at least 30 days’ notice; changes apply from your next billing cycle, and we will tell you how to cancel before the new price takes effect.

Refunds

Monthly plans are not refundable for a period already started; cancelling simply stops the next renewal. Annual plans may be refunded on a pro-rata basis for the unused portion if you cancel within 14 days of an annual renewal charge. If you were charged in error or something went wrong, email hello@tovin.io within 14 days of the charge and we will make it right. Nothing here limits any non-waivable refund or cancellation right you have under your local law.

Acceptable use

  • Don't attempt to access other customers' data, probe or overload the service, or use it to break the law.
  • Respect the published rate limits and resource caps; they exist to keep the service fast for everyone.
  • Connect only cloud accounts you are authorized to monitor.

Your data

Your billing data and anything derived from it belongs to you. We use it only to provide the service, as described in the Privacy Policy. Aggregated, anonymized statistics may be published only from organizations that explicitly opt in. When you delete a connection, project, or organization, the corresponding data is deleted as described in the Privacy Policy.

Accuracy disclaimer

Cost figures are derived from the data your cloud providers expose, which is sometimes delayed, restated, or incomplete upstream. Tovin.io is a monitoring tool, not an accounting system of record or financial advice — reconcile against provider invoices before making financial decisions, and read our reconciliation guides for how.

Service level and changes

We work to keep the service available and fast, but it is provided “as is” without a formal SLA on self-serve plans. We may add, change, or retire features; material removals are announced in the changelog ahead of time.

Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

Liability

To the maximum extent permitted by law, our total liability for any claim arising out of the service is limited to the greater of the amount you paid us in the 12 months before the claim or US$100. We are not liable for indirect, incidental, special, or consequential damages, or for decisions made on the basis of cost data that was inaccurate upstream. Nothing in these terms limits liability that cannot be limited under applicable law, including, for consumers, liability for death or personal injury or for fraud.

Governing law and disputes

These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules, and the United Nations Convention on Contracts for the International Sale of Goods does not apply. You and we agree to the exclusive jurisdiction of the state and federal courts located in Bucks County, Pennsylvania, and waive any objection to venue there. If you are a consumer, this does not deprive you of the protection of mandatory provisions of the law of your country of residence.

Termination

You can stop using the service and delete your organization at any time. We may suspend or terminate accounts that violate these terms, with notice where practicable. On termination, data deletion follows the Privacy Policy.

Changes and contact

If these terms change materially, we will note it in the changelog and update the date above at least 14 days before the change applies; continued use after that date means you accept the change. Questions: hello@tovin.io (a postal address is available on request).
